Terms of Service

Agreement

Open Context is operated by FOUND Studios, LLC, a limited liability company ("Company", "we", "us", or "our"), doing business as Open Context. By using Open Context ("opnctx.ai"), the Open Context Chrome extension, and related APIs (collectively, the "Service"), you agree to these Terms of Service. If you do not agree, do not use the Service.

You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you are at least 13 years old. If you are under 18, you represent that you have your parent or guardian's permission to use the Service. The Service is not directed to children under 13 and we do not knowingly collect personal information from children under 13. If we learn that we have collected personal information from a child under 13, we will delete it promptly.

Use of the Service

You may use the Service to create and manage context profiles, store library content, and share that content with AI tools via URLs or MCP. You are responsible for the content you upload and the way you use shared links. Do not use the Service for illegal purposes, to violate others' rights, or for conduct prohibited by our Acceptable Use Policy. We may suspend or terminate access for abuse or violation of these terms.

Your Content

You retain ownership of all content you provide to the Service. By using the Service, you grant FOUND Studios, LLC a worldwide, non-exclusive, royalty-free license to reproduce, store, transmit, process, and distribute your content solely as necessary to operate and deliver the Service — including sublicensing to subprocessors such as cloud storage providers, database providers, and AI processing services acting on our behalf. This license also covers making your content available to third-party AI tools you explicitly connect to your account. This license terminates when you delete the content or close your account, subject to reasonable backup and retention periods described in our Privacy Policy.

You are solely responsible for the content you upload, store, or share through the Service. You represent and warrant that you have all rights necessary to grant the license above, and that your content does not violate any law or the rights of any third party. Profile URLs are public by design — anyone with your profile URL can read its contents. Do not include passwords, financial information, government ID numbers, or other sensitive personal information in profiles.

FOUND STUDIOS, LLC TAKES NO RESPONSIBILITY AND ASSUMES NO LIABILITY FOR ANY CONTENT YOU OR ANY OTHER USER SUBMITS TO THE SERVICE. WE ARE NOT OBLIGATED TO MONITOR USER CONTENT AND MAKE NO REPRESENTATIONS ABOUT ITS ACCURACY, LEGALITY, OR APPROPRIATENESS. YOU BEAR ALL RISK ASSOCIATED WITH YOUR USE OF, OR RELIANCE ON, ANY CONTENT SUBMITTED TO THE SERVICE.

Copyright and DMCA

We respect intellectual property rights and expect users to do the same. If you believe content stored on the Service infringes your copyright, you may submit a takedown notice to our designated DMCA agent at dmca@opnctx.ai. Your notice must include:

• A description of the copyrighted work you claim has been infringed
• A description of the infringing material and its location on the Service
• Your contact information (name, address, phone, email)
• A statement that you have a good faith belief the use is not authorized by the copyright owner, its agent, or law
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf
• Your physical or electronic signature

Upon receipt of a valid notice, we will remove or disable access to the allegedly infringing content and notify the affected user. Users who believe their content was removed in error may submit a counter-notice to the same address.

We will terminate the accounts of users who are repeat infringers in appropriate circumstances. We reserve the right to act on credible infringement claims even before receiving a formal DMCA notice.

Indemnification

You agree to indemnify, defend, and hold harmless FOUND Studios, LLC and its officers, directors, employees, agents, and successors from and against any claims, damages, losses, liabilities, and costs (including reasonable attorneys' fees) arising out of or relating to: (a) your use of or access to the Service; (b) your content; (c) your violation of these Terms; or (d) your violation of any third-party right, including any intellectual property right or privacy right. We reserve the right to assume exclusive control of the defense of any matter subject to indemnification by you, at your expense, and you agree to cooperate with our defense of such claims.

Service Availability

We strive to keep the Service available but do not guarantee uptime. We may change or discontinue features with reasonable notice where practical.

Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the date at the top of this page and, where appropriate, notify you by email or by a notice within the Service. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FOUND STUDIOS, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Connecticut, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Connecticut.

General

Entire Agreement. These Terms, together with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and FOUND Studios, LLC regarding the Service and supersede all prior agreements or understandings.

Severability. If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

No Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
